Partner Agreement

    This Partner Agreement ("Agreement") is entered into between Book Sourcing Mastery, LLC (doing business as Give My Books Network, hereinafter "the Network") and you ("Partner"). By registering as a Pick-Up Partner or using the Network's Partner services, you agree to be bound by this Agreement.

    Definitions

    • "Network" refers to Give My Books Network and its services.
    • "Clients" refers to individuals who schedule book and media pickups through the Network.
    • "Pick-Up Partners" or "Partners" refers to individuals or entities who fulfill pickup requests on behalf of the Network.
    • "Requesters" refers to individuals or organizations who request books through the Give Me Books program.

    1. Data Usage and Confidentiality

    Client contact information — including but not limited to phone numbers, email addresses, and physical addresses — is confidential and owned by the Network. As a Partner, you acknowledge and agree to the following:

    • Client contact information is provided to you solely for the purpose of coordinating and completing assigned pickups.
    • You shall not use Client contact information for any marketing, advertising, solicitation, or promotional purposes.
    • You shall not contact Clients for any purpose unrelated to the specific pickup assigned to you by the Network.
    • You shall not store, copy, download, export, or otherwise retain Client contact information outside of the Network platform (including personal phones, spreadsheets, CRM systems, or any other external storage).
    • You shall not share Client contact information with any third party, including employees, subcontractors, or affiliates, except as necessary to complete the assigned pickup.
    • All Client data, pickup records, and operational information accessed through the Network platform remains the exclusive property of the Network.

    Violation of these data usage restrictions constitutes a material breach of this Agreement and may result in immediate termination of your Partner account, forfeiture of any pending payouts, and legal action including claims for damages.

    2. SMS Communications

    By registering as a Partner, you consent to receive SMS text messages from the Network related to your Partner activities, including:

    • New pickup assignment notifications
    • Nearby pickup opportunity alerts (out-of-area requests)
    • Schedule change notifications
    • Service updates and announcements
    • Account and compliance notifications

    Message frequency varies based on pickup activity and your service area. Message and data rates may apply.

    You may manage your SMS notification preferences through your Partner dashboard settings. To stop all SMS messages, text STOP to any message. To get help, text HELP or contact info@givemybooksnetwork.com.

    SMS consent is not a condition of becoming a Partner, but opting out of SMS may affect your ability to receive time-sensitive pickup notifications.

    3. Service Standards

    As a Partner, you agree to:

    • Fulfill assigned pickups in a timely and professional manner.
    • Treat all Clients with courtesy and respect.
    • Handle donated items responsibly and ethically.
    • Maintain accurate records of pickups and item counts within the Network platform.
    • Comply with all applicable local, state, and federal laws and regulations.
    • Maintain adequate insurance coverage for your pickup operations as required by law.
    • Communicate promptly with the Network regarding any issues, delays, or concerns with assigned pickups.

    4. Intellectual Property

    All Network branding, logos, trademarks, marketing materials, Client lists, operational data, and proprietary technology are the exclusive property of Book Sourcing Mastery, LLC. Partners may not:

    • Use Network branding or logos without prior written approval.
    • Create derivative works based on Network materials.
    • Represent themselves as the Network or imply official endorsement beyond their role as a Partner.

    5. Independent Contractor Status

    Partners are independent contractors and not employees, agents, or representatives of the Network. Nothing in this Agreement creates an employment, agency, or partnership relationship. Partners are responsible for their own taxes, insurance, and compliance with employment laws.

    6. Termination

    Either party may terminate this Agreement at any time with or without cause. Upon termination:

    • Partner's access to the Network platform will be revoked.
    • Partner must immediately cease using any Client data, Network materials, or proprietary information.
    • Partner must delete or destroy any Client contact information in their possession.
    • The data usage and confidentiality obligations in Section 1 survive termination of this Agreement indefinitely.

    7. Limitation of Liability

    The Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Partner relationship. The Network makes no guarantees regarding the volume of pickup assignments, earnings, or business outcomes.

    8. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Washtenaw County, Michigan.

    9. Changes to This Agreement

    The Network may update this Agreement from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Network platform after changes constitutes acceptance of the revised Agreement.
